Terms of Service

Welcome to Stake-It. These Terms of Service ("Terms") govern your access to and use of the Stake-It platform and services operated by Future Networking LLC ("we," "our," or "us"). By using our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using our services, you represent that:
- You are at least 18 years old
- You have the legal authority to enter into these Terms
- If acting on behalf of a business, you have authority to bind that business to these Terms
- Your use of our services will comply with all applicable laws and regulations
2. Description of Services
Stake-It provides a restaurant management platform that includes:
- Reservation and waitlist management
- Website hosting and management
- Guest communication tools (SMS and email)
- Marketing and campaign management
- Event and catering management
- Job posting and application management
- Analytics and reporting
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.
3. Account Registration
3.1 Account Creation
To use our services, you must create an account with accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
3.2 Account Security
You agree to use strong passwords and enable two-factor authentication when available. We are not liable for any loss resulting from unauthorized account access due to your failure to secure your credentials.
4. Subscription and Payment
4.1 Pricing
Our services are offered on a subscription basis. Current pricing is available on our website. Prices are subject to change with 30 days' notice.
4.2 Billing
- Subscriptions are billed in advance on a monthly or annual basis
- Payment is due at the start of each billing period
- All fees are non-refundable except as stated in our Refund Policy
4.3 Credit Purchases
Certain features (such as email validation) may require purchasing credits. Credits are non-refundable and do not expire.
5. Acceptable Use
You agree NOT to:
- Use our services for any unlawful purpose
- Send spam, unsolicited messages, or violate anti-spam laws (CAN-SPAM, TCPA)
- Transmit malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt our services or servers
- Impersonate any person or entity
- Violate any third-party intellectual property rights
- Collect or harvest data from our services without permission
- Use our services to compete with us
6. Communications and Messaging
6.1 SMS Marketing Compliance (TCPA)
If you use our SMS marketing features, you agree to comply with the Telephone Consumer Protection Act (TCPA) and all applicable regulations:
- Express Written Consent: You must obtain prior express written consent before sending any marketing or promotional text messages. Consent must be clearly documented
- Clear Disclosure: At the point of consent, you must clearly disclose: (a) that the person is agreeing to receive marketing texts, (b) the identity of your business, (c) that message and data rates may apply, and (d) how to opt out
- Opt-Out Handling: You must honor STOP requests immediately. Our platform automatically processes STOP requests, but you must not circumvent this or contact opted-out numbers through other means
- Message Frequency: You must disclose approximate message frequency at signup (e.g., "Message frequency varies" or "Up to 4 msgs/month")
- No Purchased Lists: You may NOT send marketing texts to phone numbers from purchased or rented lists. All recipients must have directly opted in to receive messages from YOUR business
- Consent Records: We maintain consent records on your behalf, but you are ultimately responsible for ensuring valid consent exists for all marketing recipients
6.2 Email Marketing Compliance (CAN-SPAM)
If you use our email marketing features, you agree to comply with the CAN-SPAM Act and similar regulations:
- Accurate Headers: Your "From" name and email address must accurately identify your business
- Honest Subject Lines: Subject lines must not be deceptive or misleading
- Identify as Advertisement: Marketing emails must be clearly identifiable as advertisements
- Physical Address: Include your valid physical postal address in every marketing email
- Unsubscribe Mechanism: Every email must include a clear and conspicuous way to opt out. Our platform automatically includes unsubscribe links
- Honor Opt-Outs: Unsubscribe requests must be honored within 10 business days. Our platform processes them immediately
6.3 Guest Marketing Signup Forms
When collecting marketing consent through our signup forms:
- Consent checkboxes must not be pre-checked
- Consent must be separate from other agreements (not bundled)
- The consent language displayed to users cannot be modified to remove required disclosures
- You may not send marketing messages to guests who only made reservations without separately opting in to marketing
6.4 Transactional Messages
Transactional messages (reservation confirmations, reminders, waitlist notifications) do not require marketing consent but must be directly related to a transaction the recipient initiated. You may not disguise marketing content as transactional messages.
6.5 Messaging Costs
You are responsible for any SMS or communication costs incurred through your use of our platform. Standard message and data rates from mobile carriers may apply to your recipients.
7. Data and Privacy
7.1 Your Data
You retain ownership of all content and data you upload to our platform. By using our services, you grant us a limited license to use your data solely to provide and improve our services.
7.2 Guest Data
You are responsible for ensuring you have proper consent to collect and use guest information. See our Privacy Policy for details on how we handle data.
7.3 Data Backup
While we maintain regular backups, you are responsible for maintaining your own backup copies of critical data.
8. Intellectual Property
8.1 Our Property
The Stake-It platform, including all software, designs, trademarks, and content, is owned by Stake-It and protected by intellectual property laws. You may not copy, modify, or distribute our platform without permission.
8.2 Your Content
You retain ownership of content you create and upload. You grant us a license to display and distribute your content as necessary to provide our services.
9. Third-Party Services
Our platform integrates with third-party services (Stripe, AWS, Telnyx, etc.). Your use of these services is subject to their respective terms. We are not responsible for third-party service outages or issues.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAKE-IT AND FUTURE NETWORKING LLC SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages exceeding the amount you paid us in the 12 months preceding the claim
11. Disclaimer of Warranties
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Indemnification
You agree to indemnify and hold harmless Stake-It, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of our services
- Your violation of these Terms
- Your violation of any third-party rights
- Your content or data
13. Termination
13.1 By You
You may cancel your subscription at any time through your account settings. See our Refund Policy for details on refunds.
13.2 By Us
We may suspend or terminate your account if:
- You violate these Terms
- You fail to pay fees when due
- Required by law
- We discontinue our services
13.3 Effect of Termination
Upon termination, your right to use our services ends immediately. We may delete your data 30 days after termination. You may request data export before account closure.
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
14.2 Arbitration
Any disputes shall be resolved through binding arbitration in Austin, Texas, in accordance with the rules of the American Arbitration Association. You waive any right to participate in class actions.
15. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Continued use of our services after changes constitutes acceptance of the new Terms.
16. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and us.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Our failure to enforce any right does not waive that right.
- Assignment: You may not assign these Terms without our consent.
